The legal terms that govern KAR.

These Terms of Service ("Terms") form a binding agreement between you and Hello KAR, a trade name registered in the State of Maryland ("KAR," "we," "us," or "our"), and govern your access to and use of the KAR mobile applications, the website at hellokar.com, and all related services (collectively, the "Service").

If you do not agree to these Terms, do not create an account or use the Service.

You must be at least 18 years old and able to form a binding contract under applicable law to use the Service. You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to provide accurate information and to update it as it changes.

KAR is a technology platform that connects riders who request transportation with independent drivers who choose to provide it. KAR is not a transportation carrier, taxi service, or common carrier. Drivers on the platform are independent contractors and not employees of KAR.

• You will treat drivers with respect and obey all applicable laws while in a vehicle, including seat-belt requirements.
• You will not bring weapons, illegal substances, or open containers of alcohol into a driver's vehicle.
• You will pay all applicable fares, fees, taxes, tolls, surcharges, cancellation fees, and tips through the in-app payment method.
• You will not request or receive transportation while a child requires a child safety seat that you have not provided.

• You will maintain a valid driver's license, vehicle registration, and personal automobile insurance that meets or exceeds Maryland minimums and the additional limits required of transportation network company drivers under Maryland law.
• You will pass and maintain compliance with the background check we administer through a third-party provider before activation and at our discretion thereafter.
• You will operate a vehicle that meets KAR's vehicle eligibility standards and is mechanically safe, properly registered, and insured.
• You will obey all traffic laws, will not drive under the influence of alcohol or drugs, and will not use a phone in a manner that violates Maryland's distracted-driving laws.
• You will not solicit cash payments or off-platform rides.

Fares are calculated based on time, distance, base fare, and any applicable surcharges (for example, a flat fee for adding an intermediate stop or for enabling Precise Pickup). Estimates shown before booking are good-faith approximations; the actual fare is calculated when the trip ends. KAR retains a service fee and remits the remainder to the driver in accordance with our driver agreement. Payment is processed by Stripe, Inc. Tips are 100% pass-through to the driver.

Cancellation fees apply when a rider cancels after a driver has accepted, or when a driver has waited at the pickup point beyond the grace period. Wait-time charges apply during stops in accordance with the schedule disclosed in-app.

KAR may from time to time issue promotional codes or account credits. Promo credits are non-transferable, have no cash value, and may expire. KAR may modify or revoke promotions at any time for fraud, abuse, or material change in circumstances.

While a driver is logged in to the platform, available, en route to a pickup, or transporting a rider, KAR maintains commercial automobile liability coverage in accordance with Maryland transportation network company requirements. The driver's personal automobile insurance remains primary at all other times. Coverage details and certificates are available on request via [email protected].

You agree not to: reverse-engineer the app; copy, distribute, or create derivative works of the Service; interfere with the Service's security or operation; use the Service for unlawful purposes; harass, threaten, or discriminate against other users; impersonate another person; or attempt to gain unauthorized access to any account or system.

The Service, including all software, designs, logos, marks, and content (other than user-generated content), is owned by Hello KAR or its licensors and is protected by United States and international copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of any content you submit through the Service (such as profile photos, ratings, and chat messages). You grant KAR a worldwide, royalty-free, non-exclusive license to use, store, reproduce, modify, and display that content for the purpose of operating, improving, and promoting the Service. You represent that you have all necessary rights to the content you submit.

We may suspend or terminate your account at any time for violation of these Terms, fraud, abuse, illegal activity, or as required by law. You may close your account at any time through in-app Settings or by emailing [email protected]. Sections that by their nature should survive termination (including disclaimers, indemnity, limitation of liability, and arbitration) will survive.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. KAR does not guarantee that the Service will be uninterrupted, error-free, or that a driver or ride will be available when requested.

To the maximum extent permitted by law, KAR and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. KAR's total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to KAR in the six months preceding the event giving rise to the claim or (b) one hundred U.S. dollars.

You and KAR agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will take place in Maryland, or at your election, in the county where you reside. Judgment on the award may be entered in any court of competent jurisdiction.

You and KAR each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or representative action. Nothing in this section prevents you from bringing an individual claim in small claims court.

You may opt out of this arbitration agreement by emailing [email protected] within thirty (30) days of first accepting these Terms with the subject line "Arbitration Opt-Out" and including your full name and account email.

You agree to indemnify, defend, and hold harmless KAR and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your violation of these Terms, your violation of any law or third-party right, or, if you are a driver, your operation of a vehicle while providing transportation services through the Service.

These Terms are governed by the laws of the State of Maryland without regard to conflict-of-laws principles. Subject to the arbitration provision in Section 14, any action permitted to be brought in court will be filed exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts.

We may modify these Terms from time to time. When we make material changes, we will notify you by email or in-app and update the "Last updated" date above. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a sale, merger, or transfer of all or substantially all of our assets. These Terms, together with the Privacy Policy and any in-app supplemental terms, constitute the entire agreement between you and KAR regarding the Service.
